Promissory notes are among the most common instruments of transactional practice, routinely used for short-term bridge loans or longer-term finance. Because they are commonplace, important provisions are often overlooked as “boiler-plate” and hidden traps go unseen until triggered. This program will provide a practical guide to reviewing and drafting promissory notes with an emphasis on the application of UCC Article 3?Negotiable Instruments. The program will explore the rights and risks of note makers, lenders, and holders in due course.
