About the Seminar
This seminar is designed as a basic course of practical instruction for practitioners who are periodically asked to represent clients in connection with the sale or other disposition of their closely held businesses. The program will focus on the issues and documentation associated with the initial negotiations for the sale or purchase of a business as well as an overview of the purchase agreement, negotiating points and drafting issues. It will include a discussion of how businesses are marketed and the key issues associated with striking a deal. The seminar will address alternatives to the sale of a business, such as gifting of interests and other creative business succession plans, and include an hour of ethics by Barbara Seymour from the Supreme Court’s Office of Disciplinary Counsel.

Practitioners who handle estate planning, business merger and acquisition work, and those who represent small business owners in any capacity can benefit greatly from the materials that will be presented.
